Finance secy just told India Inc way around tax on dividends Posted: Finance Secretary Subhash Chandra Garg on Friday ruled out any change in the dividend distribution tax, but expressed flexibility that grandfathering tax on buybacks can be discussed with the revenue department. The key changes in Budget's taxation-related measures affecting the deal market include the extension of buy-back tax-related provision to listed entities. This provision was earlier introduced as an anti-abuse measure to check the practice by unlisted companies to distribute accumulated profits through the buyback route rather than the dividend declaration route, thereby evading dividend distribution tax (DDT)."There is no change in Dividend Distribution Tax, there is no plan to change it. I am not in a position to say on grandfathering buyback tax, but can discuss it with the revenue department," said Finance Secretary Subhash Chandra Garg at a CII event on Budget discussion. In the Budget, the government taxed the buyback route to check dividend distribution tax evaders. But Garg offered ways to get out of the tax on buybacks."Dividend distribution Tax is going to stay. There is no plan to change. But there is a way if you invest in REIts and InVits (REITs, or real estate investment trusts, or infrastructure investment trusts), there is a way to save from this tax. If it is investment-oriented, then you have a way to be away from DDT ", Garg said.Finance Minister Nirmala Sitharaman has proposed closing the buyback route used by corporates to avoid paying taxes. Earlier, corporates preferred using the buyback route after the government levied a dividend distribution tax of 10 per cent in 2007, which was further hiked by a similar quantum in 2016.In the last three years, more than 170 companies, mainly in the IT sector, have bought back shares worth Rs 1.33 lakh crore. A number of IT sector companies, including Infosys, Wipro, and Tata Consultancy Service, have in the recent past announced big buybacks.Finance Minister Nirmala Sitharaman has now plugged this loophole by taxing buybacks at the rate of 20 per cent, similar to those applicable on unlisted companies.Taxation of dividends: Dividends paid by a domestic company are subject to Dividend Distribution Tax (DDT) at 15% of the aggregate dividend declared, distributed or paid. The DDT payable is required to be grossed up. The effective rate is 20.3576%, including a 12% surcharge and a 3% education cess.Garg said the domestic market is crowded due to government borrowings, so, private sector is unable to borrow. If government even borrows 10% from abroad, it will free Rs 70,000 crore for private companies. He further said a 5 trillion dollar economy is achievable if the economy grows at 8% per annum and with 4% inflation, 12% nominal growth rate, 1-1.5% depreciation of the rupee vis-a-vis dollar value and the growth is doable and pragmatic.Stressing the continuation of fiscal deficit path of 3.3% , the secretary said the government has opened up many sectors such as insurance and has also raised FPI limits of 24% subject to sectoral caps. The 5 trillion dollar investment path will be led by private sector, he said .To attract more global investment, the government will consider further opening up of foreign direct investment in aviation, media, animation, and the insurance sector in consultation with stakeholders. |
Baby talc nightmare comes back to haunt J&J Posted: By Jef FeeleyThe US Justice Department is pursuing a criminal investigation into whether Johnson & Johnson lied to the public about the possible cancer risks of its talcum powder, people with knowledge of the matter said. The criminal probe, which hasn't been reported previously, coincides with a regulatory investigation and civil claims by thousands of cancer patients that J&J's Baby Powder talc was responsible for their illness. Now, a grand jury in Washington is examining documents related to what company officials knew about any carcinogens in their products, the people said.Baby Powder accounts for only a tiny fraction of J&J's annual revenue, but it's been a core brand for the company for more than a century. Questions about the product's safety have led to more than 14,000 lawsuits from consumers asserting that the company's talc products caused their ovarian cancer or mesothelioma, a rare form of the disease linked to asbestos exposure.J&J disclosed in February that it had received subpoenas, but little was known then about the investigation behind them, including whether the matter was civil or criminal."We have been fully cooperating with the previously disclosed DOJ investigation and will continue to do so," said J&J spokeswoman Kim Montagnino. "Johnson's Baby Powder does not contain asbestos or cause cancer, as supported by decades of independent clinical evidence."The Justice Department didn't immediately respond to requests for comment.Shares of J&J declined as much as 5.1% on Friday, sliding to $132.97, the biggest intraday decline in more than a month, for a loss of about $19 billion in market value.Internal MemosJ&J, the world's largest maker of health care products, has said safety tests of its Baby Powder over many decades have shown no presence of asbestos. But some of the lawsuits have turned up internal memos as far back as the 1960s and '70s that contain warnings from company scientists that asbestos detected in J&J's talc was a "severe health hazard" that could pose a legal risk for the company.Justice Department prosecutors, FBI agents and Securities and Exchange Commission regulators are almost surely looking at whether J&J officials' public denials that their talc-based products ever contained asbestos were truthful, legal experts said. SEC spokeswoman Judy Burns declined to comment.Nearly a dozen juries have concluded J&J knew that some of their Baby Powder and former Shower-to-Shower products had at least trace amounts of asbestos and failed to disclose that to consumers. Over the past three years, jurors have awarded a total of more than $5 billion to people who blame the powders for their cancers. The company has said it has set aside money for legal costs related to talc claims but hasn't said how much. Bloomberg Intelligence estimates that civil settlements could cost J&J as much as $15 billion overall. J&J says it has no liability because the products are safe.Shares of J&J plunged as much as 17% in December -- erasing billions in value -- after news reports about memos appearing to show that J&J executives knew the products were contaminated with the asbestos as early as the 1970s.Document RequestsThe February document requests from the Justice Department, the SEC and the top Democrat on the Senate Committee on Health, Education, Labor and Pensions sought information about the company's knowledge of asbestos in its talc-based products. J&J said it would be "cooperating with these government inquiries and will be producing documents in response."The grand jury was impaneled after the Justice Department's fraud unit started an investigation. Investigators are probably looking for more internal communications that might conflict with the company's public statements, said Henry Klingeman, a former federal prosecutor now in private practice in New Jersey."Since J&J is a public company, they are probably looking at whether their statements amounted to fraudulent statements to consumers and regulators," Klingeman said in an interview. "I'd also think they'd be looking at whether they violated securities-fraud laws."The grand jury inquiry is likely to influence any talks between J&J and plaintiffs over resolving their claims out of court, said Peter Henning, a law professor at Wayne State University in Detroit."This will make it more difficult for Johnson & Johnson to settle the civil cases as long as there is a continuing criminal investigation, which may require employees to testify before a federal grand jury," Henning said. "Civil plaintiffs may not want to settle until they know better whether criminal charges will be filed, which they can use to aid their cases."Investor SuitsIn addition to the consumers' suits, some J&J investors have accused the company of defrauding them, arguing in lawsuits that J&J failed to disclose that its powder was tainted and that the company's shares were artificially inflated as a result.Jacob Frenkel, a former SEC trial lawyer now in private practice in Washington, said there's no timeline for grand-jury investigations and no certainty it will result in charges. "This could be a high-profile government investigation that goes nowhere," he said. "Regardless of the outcome, the timetable for such investigations can measure in years, not months," he added.Baby powder is mostly talc, a mineral used to keep skin dry and as an astringent to prevent diaper rash. It's also used in consumer products such as makeup, paint and dietary supplements. But geological formations that contain talc also yield asbestos, a mineral once used in products such as building insulation.Scientists have found strong links between asbestos and mesothelioma, while plaintiffs' lawyers claim that studies have also shown a link between talc and ovarian cancer. In court filings, J&J has disputed both contentions.Indemnity AgreementJ&J sold the rights to its Shower-to-Shower talcum powder to Valeant Pharmaceuticals International Inc. in 2012. Valeant, which changed its name to Bausch Health Cos last year, has an indemnity agreement with J&J covering asbestos suits tied to the powder.Juries in states such as Missouri, California and New Jersey have ruled for some of the plaintiffs since suits started going to trial in 2016. However, some of those verdicts have been thrown out by judges and others are on appeal. Some other cases have resulted in hung juries or outright wins for J&J.Most of the ovarian cancer cases, along with investors' suits, have been consolidated before a federal judge in New Jersey for pretrial information exchanges and test trials. The first trials of those cases haven't yet been set. |
S-400 missile system: All you should know Posted: Turkey on Friday received the first deliveries of Russia's S-400 missile defence systems despite Washington threatening the NATO member with sanctions over the controversial deal. The delivery marks a new high in warming ties between Ankara and Moscow. Here is what you need to know about Russia's most modern anti-aircraft defence system. The Russian army began using the S-400, designed to intercept and shoot down any threat from the sky, in 2007.According to its producer, the state-owned Almaz-Antey company, it has a range of 400 kilometres (250 miles) and can be deployed within just five minutes. It consists of several vehicles: a command centre, various mobile radar stations and up to 12 launch vehicles that each carry four missiles.Dozens of S-400s have already been deployed throughout Russia, from the country's most western point in the Kaliningrad exclave to its far eastern corners.Four S-400s are also stationed in Crimea, the Black Sea peninsula annexed by Russia from Ukraine in 2014.Two have been deployed to Syria, where Moscow intervened militarily on the side of the Damascus regime, to protect Russia's airbase in Hmeimim and the Tartus naval facility.China was the first country to buy the weapon from Russia, ordering several S-400s for an estimated $3 billion. Deliveries began in April 2018 and the first tests took place at the end of June 2019. Few other details of the missile deal were made public.India bought five S-400 systems for $5.2 billion. Their delivery is due to begin at the end of next year.Around a dozen other countries -- including Iraq, Qatar and Saudi Arabia -- have shown interest in the S-400, in some cases as a means of putting pressure on the US to lower prices on its weapons systems. The S-400 is one of the most modern air defence systems in the world, and comes at a lower price than its US competitor, the Patriot.Washington has made clear it opposes Turkey purchasing the S-400. It gave Ankara until July 31 to give up the deal, threatening to remove Turkey from its F-35 fighter jet programme. The US and NATO have said the S-400 is incompatible with equipment used by other members of the alliance.Moscow has been able to use the S-400 as a political weapon: by selling the system to Turkey, it sows discord between Ankara and its NATO allies, whose ties are already strained.Russia plans to launch the S-500, the successor of the S-400, in the 2020s. Moscow has said it will be able to reach low orbit and target satellites. |
India-US trade talks end without major progress Posted: NEW DELHI: US and Indian trade negotiators ended talks on Friday without making major progress on a range of disputes over tariffs and other protectionist measures imposed by both sides that are straining bilateral ties, according to officials with knowledge of the discussions. Many of the toughest questions on agricultural commodities, e-commerce, and steel and aluminum, have been put off until Indian Commerce and Industry Minister Piyush Goyal goes to Washington for talks with United States Trade Representative Robert Lighthizer next month. The dates for that trip are yet to be settled."No breakthrough," said one of the senior Indian officials involved in the talks in New Delhi, which lasted a little over three hours. He declined to make any further comment. Two other Indian officials said they hoped that some of the issues will be resolved when Goyal goes to Washington.Friday's talks were more about understanding each other's positions in various disputes, they said.In a short statement issued late on Friday, the Indian government said the countries agreed to continue their discussions for "addressing mutual trade concerns".The two sides resumed talks after US President Donald Trump and Prime Minister Narendra Modi met on the sidelines of the G20 summit in June and agreed to seek to deepen the two countries' relationship.Trump said at that summit that there would be a "very big trade deal" with India, though he set no timeline, and has only this week used Twitter to attack what he calls high Indian tariffs on American goods as "no longer acceptable".TIT-FOR-TAT MOVESThe US sought the rollback of Indian tariffs imposed on some agricultural products, such as almonds, when the two sides met on Friday, said one of the Indian government sources. Those tariffs were imposed in response to the Trump administration's decision to remove trade privileges from Indian products under the Generalized System of Preferences. India has asked for those privileges, effectively zero tariffs on a range of Indian products entering the United States, to be reinstated.India did not commit to any changes to foreign investment rules for foreign e-commerce firms such as Walmart's Flipkart and Amazon, one of the Indian sources said. The rules have forced the two American companies to rework their business strategies for India.Walmart told the US government privately in January that India's new investment rules for e-commerce were regressive and had the potential to hurt trade ties, Reuters reported on Thursday. One concern now among Indian policymakers is that the Trump administration may push for a free trade agreement with India that could dent India's competitiveness, lead to a flurry of imports and hurt Modi's "Make in India" plan.In a recent meeting, Foreign Minister Subrahmanyam Jaishankar told trade ministry officials that "Trump is clearly preparing for a larger game, a larger opening", according to one of the officials aware of the discussions. |
RBI's reports never mentioned possible IL&FS crisis: Arvind Subramanian Posted: NEW DELHI: Former CEA Arvind Subramanian Friday criticised the RBI for its regulatory failures, saying its Financial Stability Reports never mentioned about the possible liquidity crisis in the IL&FS, one of the largest NBFC in the country.Subramanian further said that India's biggest challenge at the moment is twin balance sheet problem."While RBI is one of the best institution, we have. We had some massive failures like Infrastructure Leasing & Financial Services (IL&FS). If I am not wrong, if you go back, and see Financial Stability Reports of last 4-5 years, I don't think IL&FS was specifically mentioned as a possible problem, something to be watched out for," he said at an event here.Recently, Subramanian was in news for claiming that India has been overestimating its GDP by 2.5 per cent between 2011-12 and 2016-17.Subramanian, a visiting lecturer in Public Policy at the Harvard University, was the CEA in finance ministry from October 2014 to June 2018.The cash-strapped IL&FS group is sitting on a debt of about Rs 94,000 crore.Several group companies have defaulted on the payment of interests on loans. The problems at the diversified IL&FS group, that has been going in for many years, came to light when it defaulted on debt repayments last year. The IL&FS crisis had contagious effect on the NBFC (Non-banking financial company) sector as liquidity started drying up for them.Finance Minister Nirmala Sitharaman in the Budget proposed steps to help the crisis-ridden sector. |
Tata Steel, JSW draw water sustainability strategies Posted: KOLKATA: With several cities facing water crisis, companies such as Tata Steel and JSW are focusing on sustainability of water, a critical resource for steel majors apart from iron-ore and coal."Our water sustainability strategy for future- readiness is to continue investing in sewage treatment plant (STP), and creating new rain water harvesting (RWH) structures at various locations to improve the groundwater table," Tata Steel said in its latest annual report.A 25 millions of litres per day (MLD) tertiary treatment plant was commissioned at its Bara STP to convert sewage water of the Jamshedpur township into process water for reuse in steel manufacturing."This will help us to reduce our fresh water consumption by 18 per cent in the future," the company said. The steel maker also said 29 million litres of RWH structures were added at the Joda east iron ore mine in the last fiscal."Water is a critical resource used as a coolant in the steelmaking process. Currently, over 3m3 of freshwater is required per tonne of crude steel produced," Tata Steel said in the report.Another steel major, JSW Steel, is creating infrastructure for recycling water and implementing technology to lower fresh water intake. It is building a 500m3/day STP and new technology at the steel melting shop in Vijaynagar for reduced fresh water consumption and rainwater harvesting at the Dolvi plant, the company said. |
Pharma sector to post double-digit revenue growth in Q1: Analysts Posted: Mumbai: India's top drug companies are likely to end a period of slow growth, with analysts predicting a double-digit revenue expansion for the just-ended quarter.A report by brokerage firm Jefferies predicts Indian pharma companies to report 15 per cent growth in revenue in the April-June quarter, the fastest in the past three years, while ratings firm Icra forecasts their revenue to expand 11-13 per cent in fiscal year 2020. They estimate the companies to have benefited from exclusive drug launches, new approvals and, for some, a recovery in India business. On the profitability side, Jefferies predicts a 10 per cent year-on-year profit growth after tax.Market cap of leading Indian drug makers like Sun Pharmaceutical Industries and Dr Reddy's has collectively seen a $1 billion reduction in the past two years, as companies battle stringent regulatory actions from authorities in the US, along with price erosion and tepid drug launches in its most profitable market. But things might be finally turning for better for drug makers, despite underlying challenges.Jefferies said it expects the US business to be a mixed bag, with some companies faring better than the others over their exclusive drug launches. Domestic growth, it said, would "likely moderate across companies".Sun Pharma, which had seen a slowdown in the last two years due to regulatory action, is expected to post a recovery on the back of its increased drug filings and a possible ramp up of specialty drug Ilumya. Cipla, which has been trying to make its mark in the US market, is expected to report a 16 per cent revenue increase with the launch of the generic version of hormone drug Sensipar.Icra, which tracked 21 drug companies, said moderation in pricing pressure, new launches, consolidation benefits and currency benefit would support their US growth."For the US market, companies witnessed positive growth momentum at 21.3 per cent Q4FY2019 and 10.7 per cent FY2019 Vs -13.1 per cent in FY2018," said Gaurav Jain, the vice-president of corporate ratings at Icra. The firm expects the base business growth for the Indian pharma industry to remain at 11-13 per cent in FY2020 and the credit metrics of leading companies to remain stable in view of future growth prospects in regulated markets and relatively strong balance sheets. "The capital structure and coverage indicators are expected to remain strong despite pressure on profitability and a marginal rise in debt levels given inorganic investments.
