This week, Denmark granted Gazprom approval for its Nord Stream 2 gas pipeline project, a project that is set to bring 55 billion cubic meters of Russian gas into Europe annually. It is one of the most controversial pipeline projects in the world and is now moving ahead despite strong opposition from multiple EU members and the United States.

NONTHABURI, Thailand (AP) — President Donald Trump has invited Southeast Asian leaders to a “special summit” in the United States early next year after skipping their ongoing annual summit in Thailand.
Robert O’Brien, the national security adviser Trump sent in his stead, included the invitation in a letter from Trump that he read at a U.S.-ASEAN meeting on Monday on the sidelines of the summit of the 10-nation Association of Southeast Asian Nations.
Monday’s meeting with the U.S. would normally would be attended by presidents or prime ministers. In a pointed adherence to diplomatic protocol, seven of 10 Southeast Asian countries sent their foreign ministers instead.
Only host Prime Minister Prayuth Chan-cha of Thailand and the prime ministers of Vietnam and Laos joined O’Brien and the foreign ministers sent by other countries.
Last year, Trump sent Vice President Mike Pence to the annual ASEAN summit and related meetings. This year, both he and Pence were busy campaigning during the meetings, wrapping up Monday in the outskirts of Bangkok, Thailand’s capital.
Trump’s absence from the meetings left plenty of room for China and other regional powers to raise their own profiles.
Chinese Premier Li Keqiang, Japanese Prime Minister Shinzo Abe and Indian Prime Minister Narendra Modi were among the leaders who met with their ASEAN counterparts during the summit.
In addition to O’Brien, U.S. Commerce Secretary Wilbur Ross also traveled to Bangkok with a trade mission that is touring the region.
Despite the apparent downgrading of the ASEAN gathering by Trump, U.S. businesses and government were seeking to emphasize the American commitment to the region with a privately-led conference attended by about 1,000 business and government officials.
There, Ross outlined a slew of figures on trade and investment between the U.S. and what Washington has dubbed the “Indo-Pacific region.”
“The Trump administration is extremely engaged in and fully committed to this region,” Ross told the meeting.
In his own comments at the meeting with ASEAN leaders, O’Brien made a swipe at China, saying Beijing “has used intimidation to try to stop ASEAN nations from exploiting their offshore resources, blocking access to $2.5 trillion in oil and gas reserves alone. These tactics go against the rules of respect, fairness and international law.”
“The region has no interest in a new imperial era where a big country can rule others on the theory that might makes right. America is helping our ASEAN friends uphold their sovereignty,” he said.

BEIRUT (AP) — Tens of thousands of people held competing rallies in Lebanon Sunday, including thousands who flocked to the presidential palace in support of the country’s president and others who gathered in downtown Beirut as part of ongoing protests that aim to sweep from power Lebanon’s entire political elite.
The leaderless anti-government movement has united Lebanese from various religious sects, who are calling for the overthrow of the political system that has dominated the country since its 1975-1990 civil war. The agreement ending the war distributed power among Christians, Shiites and Sunnis, but led to decades of corruption and economic mismanagement culminating in a severe fiscal crisis.
Around noon Sunday, President Michel Aoun addressed thousands of his supporters at a rally near the presidential palace outside of Beirut. “There are lots of squares and no one should pit one against another, or one demonstration against another,” he said, while adding that more would be done to fight deeply rooted political corruption.
Hours after the president spoke, tens of thousands of protesters gathered in a major square in downtown Beirut calling for the government to speed up the political transition following Prime Minister Saad Hariri’s resignation last week. They also called for a general strike on Monday to pressure political leaders.
The downtown protesters chanted against Aoun and the country’s political establishment saying “all of them” should go. They were the largest protests in Beirut since Tuesday when scores of Hezbollah supporters ransacked an anti-government sit-in, injuring some of the demonstrators.
Aoun’s Christian party is allied with the Iran-backed Hezbollah militant group, which has accused unnamed foreign powers of manipulating the demonstrations. The Shiite Amal party, another close Hezbollah ally, also held a rally on Sunday in support of its leader, longtime parliament speaker Nabih Berri.
Aoun called on his supporters to work with the anti-government protesters to end corruption and to create a non-sectarian state, in remarks carried live on screens at the rally near the presidential palace in Baabda. He acknowledged that “corruption will not end easily because it has been deeply rooted for decades.”
“The people have revolted because their rights are missing,” Aoun said. “The people have lost confidence in the state and this is the big problem. We should restore the state’s confidence.”
Bassil, the target of some of the protesters’ harshest chants, also spoke. He defended Hezbollah, which the U.S. has imposed new sanctions on recently as part of its maximum pressure against Iran.
“A third of our people are not terrorists. We reject the idea of isolating some of our people,” said Bassil, in an apparent reference to the Shiite community that makes nearly a third of the country’s population.
Later Sunday, protesters closed a main highway north of Beirut and other street intersections, saying they will not stop their campaign until all their demands are met.
Prime Minister Saad Hariri resigned Tuesday, meeting a key demand of the protesters, but many are calling for more sweeping change. The government proposed a vague roadmap last month aimed at improving the economy, fighting corruption and replacing the sectarian political system with a civil state, but the protests have continued.
Aoun must now hold consultations with parliamentary blocs before appointing a new prime minister, but that process could take weeks or even months judging by past experience, and protesters are worried it would leave the same political figures in place. Lebanon’s sectarian parties are run by powerful families that include many former warlords.
Under the current system, Lebanon’s president has to be a Maronite Christian, the parliament speaker a Shiite Muslim and the prime minister a Sunni. Cabinet and parliament seats are equally split between Muslims and Christians.
(MEXICO CITY) — Relatives of women and girls murdered or missing in Mexico demanded justice during a march through the capital on Sunday.
The demonstration set out from the Independence Monument and headed for Mexico City’s sprawling main square to set up an offering near a massive altar erected to mark Dia de Muertos, or Day of the Dead.
They carried purple crosses inscribed with the names of dozens of victims.
Dia de Muertos is observed Nov. 1-2. The demonstration was billed as a “Dia de Muertas” march, or “Day of the Dead Women.”

(PARIS) — A bus headed from Paris to London flipped onto its side in the northern Somme region of France on Sunday, leaving 29 people injured, four of them seriously, authorities said.
The FlixBus that crashed on Sunday on a wet highway was carrying passengers from the U.S., Spain, Australia, Netherlands, Romania, Russia, Britain and France. The bus was carrying 32 passengers, a statement from the prefecture of the Somme said.
The injured were taken to Amiens Hospital and several other regional facilities, the statement said. A press official, Herve Fosse, said later that most of the injuries weren’t serious and about half weren’t expected to remain hospitalized.
The local gendarmerie on the scene tweeted a photo of the bus on its side, its front window smashed. The prefecture, which represents the state, said the bus left the road near an exit, but provided no further details.
(NONTHABURI, Thailand) — U.N. Secretary-General Antonio Guterres expressed concern Sunday over the plight of the 730,000 Muslim Rohingya refugees from Myanmar’s Rakhine state, calling on Myanmar’s government to take responsibility by dealing with the “root causes” of their flight to Bangladesh and working toward their safe repatriation.
Guterres spoke as he held a meeting with leaders of the Association of Southeast Asian Nations, to which Myanmar belongs. ASEAN leaders meet annually to try to work out common positions on pressing issues, but also maintain a policy of noninterference in each other’s affairs.
The ASEAN ministers’ chairman statement, released by host Thailand summarizing the consensus positions of the group, accentuated the positive in suggesting how to deal with the Rakhine crisis, without directly acknowledging the major problems of Bangladesh hosting such a vast number of refugees and the hurdles in sending them home.
The statement pointed out the various agreements already agreed upon involving repatriation while reiterating “the need to find a comprehensive and durable solution to address the root causes of the conflict and to create a conducive environment so that the affected communities can rebuild their lives.”
Its words partially echoed those of Guterres, who earlier said he remains “deeply concerned about the situation in Myanmar, including Rakhine state, and the plight of the massive number of refugees still living increasingly in difficult conditions.”
“It remains, of course, Myanmar’s responsibility to address the root causes and ensure a conducive environment for the safe, voluntary, dignified and sustainable repatriation of refugees to Rakhine state, in accordance with international norms and standards,” he said.
Guterres said Myanmar should take measures “to facilitate dialogue with refugees and pursue confidence building measures” and “to ensure humanitarian actors have full and unfettered access to areas of return, as well as communities in need.”
ASEAN members’ attitudes toward the Rakhine crisis vary. While most of the group’s 10 countries are content to honor the organization’s principle of noninterference in each other’s affairs, Malaysia and Indonesia, which have Muslim-majority populations, would prefer ASEAN take a more proactive position in ensuring just treatment of the Rohingya. ASEAN’s active involvement is mostly limited to helping with humanitarian aid.
The Rohingya fled to Bangladesh after Myanmar’s military began a harsh counterinsurgency campaign against them in August 2017 in response to an attack by a fringe group of Rohingya militants.
U.N. investigators and human rights groups say Myanmar security forces carried out mass rapes, killings and burning of Rohingya homes, for which they could be charged with ethnic cleansing, or even genocide.
In September, a special U.N. fact-finding mission urged that Myanmar be held responsible in international legal forums for alleged genocide against its Muslim Rohingya minority.
The ASEAN chairman’s statement said the regional group expects an investigative commission established by Myanmar’s government to carry out “an independent and impartial investigation into alleged human rights violations and related issues.” U.N. experts and independent human rights groups dismiss the possibility that the commission could conduct a fair investigation, noting that some members are considered to be biased in favor of the military.
The Rohingya have been harshly discriminated against, even though many have been settled in Myanmar for generations. Many in Myanmar consider them illegal immigrants from Bangladesh, and they have largely been denied citizenship and most of its privileges.
Myanmar refuses to call the Rohingya by their self-chosen name, and instead refers to them as Bengalis. Guterres in his statement avoided using either term, though the details and context made clear he was talking about the Rohingya.
Although Myanmar and Bangladesh have a formal agreement to repatriate the refugees, none have officially returned, fearing for their safety. Rights groups say Myanmar has neither made adequate arrangements for their return nor set up a process ensuring they will have full civil rights.

(HONG KONG) — A knife-wielding man slashed several people and bit off part of the ear of a pro-democracy politician in Hong Kong on Sunday, as riot police stormed several malls to thwart protesters who have been demanding government reforms for nearly five months.
The bloody attack erupted outside one of those shopping complexes, Cityplaza on Hong Kong Island. Local media said the attacker told his victims that Hong Kong belongs to China.
Television footage showed the man biting the ear of district councilor Andrew Chiu, who had tried to stop him from leaving after the stabbings. The attacker was then badly beaten up by a crowd after the attack, before police arrived. Five people were injured, two critically and two seriously, news reports said.
The attack came late Sunday, a day in which protesters had been urged online to gather at seven locations, including malls, to sustain a push for political reform following a chaotic day of clashes with police on Saturday.
Most of the rallies didn’t pan out as scores of riot police took positions, searching and arresting people, dispersing crowds and blocking access to a park next to the office of the city’s embattled leader, Carrie Lam.
Some small pockets of hardcore demonstrators were undeterred.
As protesters chanted slogans at the New Town Plaza shopping mall in Sha Tin, police said they moved in after some “masked rioters” with fire extinguishers vandalized turnstiles and smashed windows at the subway station linked to the mall.
At two malls in the New Territories in the north, protesters vandalized shops, threw paint and attacked a branch of Japanese fast food chain Yoshinoya, which has been frequently targeted after the chain’s owner voiced support for the Hong Kong police.
Police rushed into one of the malls after objects were thrown at them. At another, protesters used umbrellas and cable ties to lock the mall entrance to prevent police from entering.
Later in the day, police stormed Cityplaza after some protesters sprayed graffiti at a restaurant. A human chain by dozens of people was broken up and angry shoppers heckled the police.
The protests began in early June over a now-shelved plan to allow extraditions to mainland China but have since swelled into a movement seeking other demands, including direct elections for Hong Kong’s leaders and an independent inquiry into police conduct.
Lam has refused to budge on the demands, and instead has focused on measures that she said contributed to protesters’ anger, such as creating jobs and easing housing woes in one of the world’s most expensive cities. She invoked emergency powers last month to ban face masks at rallies, provoking further anger.
Her office said Sunday that Lam, currently in Shanghai, will head to Beijing on Tuesday. She is due to hold talks Wednesday with Chinese Vice Premier Han Zheng and join a meeting on the development of the Greater Bay Area that aims to link Hong Kong, Macao and nine other cities in southern China.
The ambitious project will help make it easier for Hong Kong residents to work and reside in mainland Chinese cities, and bolster the flow of people and goods, Lam’s office said in a statement.
But the plan has also sparked concerns over China’s growing influence over the territory. Many protesters fear Beijing is slowly infringing on the freedoms guaranteed to Hong Kong when the former British colony returned to Chinese control in 1997.
On Saturday, protesters for the first time attacked the Hong Kong office of China’s state-owned Xinhua News Agency in a show of anger against Beijing, a day after China warned of tightening its grip on the city to quell the unrest. The attack on Xinhua came after chaos broke out downtown, with police firing tear gas and protesters tossing gasoline bombs.
Xinhua in a statement strongly condemned the “barbaric acts of mobs” that had vandalized and set fire to the lobby of its Asia-Pacific office building. The Hong Kong Journalists Association also deplored “any act of sabotage against the media” and called for an end to violence against the press.
Protesters have frequently targeted Chinese banks and businesses. In July, demonstrators threw eggs at China’s liaison office in Hong Kong and defaced the Chinese national emblem in a move slammed by Beijing as a direct challenge to its authority.
On Friday, the Communist Party in Beijing vowed to “establish and strengthen a legal system and enforcement mechanism” to prevent foreign powers from sowing acts of “separatism, subversion, infiltration and sabotage” in Hong Kong.

NEW DELHI: The government panel considering relief for the telecom sector is looking at a repayment period of as much as 20 years for adjusted gross revenue (AGR) dues — with possibly an initial moratorium — based on the net present value (NPV) method to ease the burden on heavily indebted companies.It will also consider a reduction in the total incidence of taxation to help the troubled sector and separately reach out to the regulator to consider some floor on tariffs to help with viability.The government may not even need to waive interest and penalty on AGR dues adding up to Rs 1.3 lakh crore in case of a long payback period, although that is also being discussed."All options are on the table," said a government official aware of the deliberations. "The government is keen to ensure that the telecom sector remains competitive."The panel, which met for the first time last week, discussed various options, including providing relief from taxes. 71883897 Another official who attended the meeting said there was a realisation that something will need to be done if the government wants a competitive telecom sector. The panel is headed by cabinet secretary Rajiv Gauba and has officials from key stakeholder ministries and departments.AGR blowA Supreme Court decision on October 26 backing the telecom department's stance on including revenues from non-core items in the definition of AGR while calculating government levies, has created a crisis for the debt-ridden telecom sector. The decision means a Rs 1.3 lakh crore burden on telecom companies.NPV MethodBharti Airtel and Vodafone Idea will together need to pay about Rs 80,000 crore. Apart from hurting consumers, government revenues will also depend on companies remaining viable, said the official. The money has to be paid in three months. Under the NPV method, payments stretching into the future are discounted at an agreed rate — the required rate of return the government wants on the outstanding — so that the sum total of all such discounted flows is equal to the total AGR liability of the telecom companies. While government will get its dues without any loss, though over many years, the telcos will get a respite from immediate payments.Some members of the committee were of the view that tax on the spectrum charges needed to be eased. The telcos have acquired spectrum at high cost and, in addition, face a topup of up to 30% in taxes. A reduction in goods and services tax would need the GST Council's backing, said another official. States may have reservations on the proposal, considering lower GST collections. Besides, the tax relief will not be specific to the telcos cited above and will cover all telecom companies. "A more holistic view needs to be taken on what should be the total incidence on the sector," said the first official cited.The committee is also considering the need for a tariff floor to make the sector viable. It will reach out to the telecom regulator to look into the issue. There are countries that have tariff floors, said the first official, making a case for some intervention to keep the sector competitive.
MUMBAI: Bankers working on debt resolution at Dewan Housing Finance Corp (DHFL) are likely to reject a revival plan offered earlier by the company after the Centre ordered Friday a probe into alleged financial irregularities against the stressed financier's promoters, the Wadhawan family.In the immediate aftermath of a KPMG forensic audit report that highlighted likely cases of fund diversion and related party transactions at DHFL, the Serious Fraud Investigation Office (SFIO) last week ordered the probe, likely halting the current process to restructure Rs 83,873 crore in outstanding debt at the home financier. Bankers said the probe might prompt some potential buyers to stay away, as would the suggested capital structure in the current plan."The resolution plan submitted by the company envisaged that the existing promoters would continue to hold a minority stake in the company," said a senior banker engaged in the debt resolution.Cannot be Taken to NCLT"Now, that possibility is ruled out. How can we do business with people who are accused of committing this fraud?" said the banker. As the law stands today, DHFL cannot be taken to the bankruptcy courts since it is a financial services company.On September 28, in a notice to stock exchanges, DHFL had proposed repaying creditors from the company's receivables over a period of 10 years or more, depending on the category of loans.The plan also included giving banks and other institutional creditors an equity stake of 51% in the company at Rs 54 per share. That meant the promoters' stake in the company would have dropped proportionately to below 20% after the debt recast.However, the KPMG audit report and the SFIO probe have made this plan virtually unworkable."The KPMG audit has so far unearthed about Rs 15,000 crore in related party transactions. There is money trail involving directors connected to this company. Now, with the SFIO probe on, there could be a criminal investigation into the promoters," said another banker involved in the negotiations. "There are also concerns that government agencies will attach the assets of the company. All these factors have put a question mark on the plan."Media reports suggested Rs 31,000 crore may allegedly have been diverted from the company, and these funds would have been provided as loans to related parties. Bankers have asked the company to reply to these findings of the KPMG forensic audit."We have some idea on the cash flows and the retail business. But in the wholesale book, we always knew that something was amiss as assets were not being created," said a third banker involved in the process. "Now, this audit has thrown up more questions. We are miles away from a resolution. There are cases where no trail is available unless the company provides more data."Bankers believe the ongoing probe and delays could impact the healthier retail book as customers may delay or default on payments.The company's retail loan book, including mortgage loans to individuals, is worth Rs 35,233 crore. It is reportedly generating sustainable cash flows. The problem loans are wholesale loans totaling Rs 47,610 crore: These include project loans, loans to builders for slum rehabilitation (SRA) projects, and loans against property."We have been evaluating these loans and our estimates are that around Rs 13,000 crore of these loans to builders are clean, with regular payments and solid assets where recovery is possible. In the other assets, there is land and they are backed by property transactions," said the first banker cited above.
NEW DELHI: The government is approaching the Reserve Bank of India (RBI) and the National Payments Corporation of India (NPCI) over the risks in allowing social media platforms such as WhatsApp into the digital payments space in light of the recent hack of the messaging app.The move comes as the hacking issue is being monitored at the highest levels of government."We are reaching out to the NPCI and the RBI to discuss safety features and in case some extra steps need to be undertaken to ensure security of financial data is not breached," a senior government official told ET.The recent lawsuit filed in the US against Israeli company NSO and its software Pegasus, said to be responsible for the intrusion, had spread alarm among Indian authorities, he said. We learnt of it through media reports," the official said.The government said WhatsApp did inform CERT-IN about the hacking incident, but maintained that the social media app didn't disclose the names and identities of Indian citizens affected by the breach to the authorities, which it should have.The controversy began with WhatsApp/ Facebook filing a lawsuit in the US against the Israeli company NSO on October 29, within days of the Indian Supreme Court allowing the Centre to issue intermediary guidelines in three months.The guidelines are expected to allow the government to legally bind WhatsApp and any other messaging platform to tracing the source of any message on their platforms. WhatsApp has resisted this, saying it would be impossible without compromising the encryption that supposedly guarantees user privacy.

Technologies such as cloud, artificial intelligence and machine learning will help fill the gap of India's "missing middle", Chandrasekaran writes in his latest book, Bridgital Nation: Solving Technology's People Problem, co authored by Roopa Purushothaman, chief economist of the Tata Group.These Bridgital workers will help create 30 million jobs by 2025 if the model is applied successfully, Chandrasekaran and Purushothaman tell ET during a freewheeling conversation that included subjects as diverse as technology and its impact on jobs, the disruption caused by the new economy, and fostering entrepreneurship beyond select geographies. Edited excerpts:Your book Bridgital Nation highlights the use of digital to create employment opportunities. How do you see that reaching people across the economic strata in India?N Chandrasekaran: I feel you cannot fix shortage either by building more capacity or by putting more money because time is not on our side, the demand supply ratio is so huge – like hospital to doctors, or schools to teachers, or the number of judges. It will take a lot of time to build that kind of capital or talent required. We have most of our jobs in the informal sector which is almost 77%. Not all these jobs are secure or high paying and mostly they are invented by individuals themselves.On the one hand, we have high-end talent and low-end pool of workers and this is what we call the "missing middle". The solution lies in coming up with a framework that guarantees no resource is wasted and is put to maximum use. Bridging the gap with technology can solve the problem. And that is possible through cloud, artificial intelligence and machine learning. Bridgital is the method to bridge using technology the gaps to access jobs.How would you implement this model?NC: We have the methodology, and have even run pilots and tested it in the last five years. This has been done in areas like cancer care, primary care. Take, for example, the passport work. " Today, the process has been demystified."So that has created a new category of professionals empowered with technology. We have to demystify the job like the way passports are processed where specialisation comes in probably at the last stage. And those people who are typically low-skilled and execute most of the work till the last leg form a new category of empowered bridgital workers.So ordinary workers can be empowered in a processified and digitised world and trained to work in a digital environment. Do you believe that technology innovation has not filtered down to all sections of the society?NC: If startups are working in technology and IT, why can't they work in every other environment? We gave an example of the textile worker Amit in the book, which goes back to looking at what entrepreneurship means. How do you create this entrepreneurial zeal in every sector and every part of India and make more entrepreneurs flourish.Roopa Purushothaman: Traditionally we have focused on getting more land, functions like HR, finance and taxation can be taken up by the need to build a more main street set of workers compared to Bangalore's IT kind of employees. So how do we take the success seen there and take it to more people. So the textile workers can focus on not just design, but HR, finance and back office operations. It is about creating entrepreneurs in every part of India and increasing the number of employees at these SMEs, which is currently at a dismal two and a half per cent.Tell us a bit about Tata Digital...NC: Right now we are not ready to talk about it. It is a new company, like a platform.While you talk of job creation with the help of technology, we are also seeing a lot of backlash by the incumbents against the internet economy, across e-commerce, food delivery. So how do you deal with disruption that comes along with technology?NC: Every business is getting reinvented. I call it the importance of ecosystems. What is happening is that companies were set up around products. Now every industry is being controlled by an ecosystem, and it doesn't come from the product side but from the consumer side.The ecosystem is serving the customers' choice; they go back and source products.The power is shifting from the product creator or owner to the ecosystem. It is my firm belief that every company across industries has to study what their ecosystem is. Either they have to create it or be an anchor or be a significant participant in the ecosystem; otherwise they will lose. You look at restaurants— now when we want to go out and dine, many times we just order in ... Whether you like it or not, it's happening.The issue is not to avoid the disruption.And while this ecosystem is getting built at the same time it is not fully successful. Look at Uber, it doesn't make money, Ola, Oyo, don't make money. The point is there is traction for these businesses because customers use them, but the business models are not yet proven. It will evolve but the traditional players cannot ignore them.What about data privacy? You've spoken about the US, EU and China models. Are you worried about Big Tech and data? What should India follow?NC: As you solve problems of scale, data privacy will be the foundation.Data privacy will need to be embedded in the way we build solutions. It can be done, at the same time privacy is critical.Security and privacy are two sides of the same coin.Regulations have to be formed but more importantly, it's about the enforcement.So it's how the terms of reference are put together by technology companies or the Big Tech, and how well documented these terms are for the people.Coming back to the book, it falls into the techno optimist category...NC: It is a pragmatic book.It is similar to whether you are pro or anti ecosystem.As chairman of Tata Motors, I can say all of this (ride hailing) will eventually fail; so let me have world class service stations and dealers. Or I can take the view, whether I am a part of the ecosystem or not, it (changes) will happen.I have taken the view that AI and ML will influence all industries, it will impact every market and industry at varying speeds. So how do we embrace it so that they are put to use.Given India's low per capita income, why is the percentage of women in the workforce dropping – a central point in the book?RP: There are largely three reasons, responsibility for unpaid work in India is huge, the safety and mobility concerns and the underlying gender context of preference for males. You don't see that in all countries as much as India…. Getting women into the workforce can solve half the issue of the missing middle.In India, we have two major challenges. First, there is an access issue. There is a huge shortage. You can't fix shortage building more capacity. Look at the doctors-to-patient ratio, teacher-to-student, the number of judges. It takes a lot of time to build capacity. Second is that we have a lot of talented people. There is a huge demand for services…Who is tasked with the onus of creating these skills? Where does the government come in and how do corporates such as the Tatas pitch in?NC: The idea of putting out the book with all the details was that it can get debated and adopted so that it solves problems. I definitely want to do a few projects on this scale where digital can be put to use. We are also setting up the Indian Institute of Skills, which the government asked us to do. The approval has come in and we want to design the curriculum about not just vocational skills but also bring in the concept of digital skills for all sectors.
MUMBAI: Future Group founder Kishore Biyani said his deal to sell minority stake to Amazon has moved a step forward even as the Competition Commission of India (CCI) sought more information from the US ecommerce firm."It is a process to comply with information sought by the commission and to satisfy them in all aspects of the transaction which is being done and we expect a closure of the transaction soon," said Biyani.Amazon had sought CCI approval last month for its proposed Rs 1,500 crore deal to acquire 49% of Future Coupons through its investment arm, Amazon.com NV Investment Holdings LLC, which in turn will give them 3.5% stake in Future Retail, Biyani's flagship company. In its CCI filing, it said it would acquire "voting and non-voting equity shares" of FCL in the proposed deal.Amazon has the option to become the largest shareholder in Future Retail and can exercise this call option anytime between the third and the 10th year. However, details haven't yet been announced or notified in the CCI filing. "It is submitted that each of the constituent steps of the proposed combination, including the acquisition of shares of FCL by the investor, on a standalone basis, are exempt transactions, and need not be notified to the Hon'ble commission," Amazon said in its application.Last week, Reuters reported that CCI had approached Amazon to explain the contours of the deal as well as questioned the US retailer on its procedure to seek approval, which in turn could delay the clearance."They wanted general information on Future Group's operations including products and store locations which was submitted a fortnight ago. There was also a personal hearing last week and the transaction should be cleared by December," said an official involved in the deal.This is similar to CCI's earlier stance when they sought details from Samara Capital last year on the role of Amazon and how the proposed deal by them to buy the More chain of supermarkets from Aditya Birla Retail was in line with the government's revised FDI policy in ecommerce issued in December last year.The competition watchdog's queries to Samara Capital-owned Witzig Advisory Services was also specific to whether Amazon will be involved in day-to-day operations of More, its representation on the board and whether More will be integrated into the Amazon India marketplace. The deal was subsequently cleared by CCI in January this year.
MUMBAI: Bankers working on debt resolution at Dewan Housing Finance Corp (DHFL) are likely to reject a revival plan offered earlier by the company after the Centre ordered Friday a probe into alleged financial irregularities against the stressed financier's promoters, the Wadhawan family.In the immediate aftermath of a KPMG forensic audit report that highlighted likely cases of fund diversion and related party transactions at DHFL, the Serious Fraud Investigation Office (SFIO) last week ordered the probe, likely halting the current process to restructure Rs 83,873 crore in outstanding debt at the home financier. Bankers said the probe might prompt some potential buyers to stay away, as would the suggested capital structure in the current plan."The resolution plan submitted by the company envisaged that the existing promoters would continue to hold a minority stake in the company," said a senior banker engaged in the debt resolution.Cannot be Taken to NCLT"Now, that possibility is ruled out. How can we do business with people who are accused of committing this fraud?" said the banker. As the law stands today, DHFL cannot be taken to the bankruptcy courts since it is a financial services company.On September 28, in a notice to stock exchanges, DHFL had proposed repaying creditors from the company's receivables over a period of 10 years or more, depending on the category of loans.The plan also included giving banks and other institutional creditors an equity stake of 51% in the company at Rs 54 per share. That meant the promoters' stake in the company would have dropped proportionately to below 20% after the debt recast.However, the KPMG audit report and the SFIO probe have made this plan virtually unworkable."The KPMG audit has so far unearthed about Rs 15,000 crore in related party transactions. There is money trail involving directors connected to this company. Now, with the SFIO probe on, there could be a criminal investigation into the promoters," said another banker involved in the negotiations. "There are also concerns that government agencies will attach the assets of the company. All these factors have put a question mark on the plan."Media reports suggested Rs 31,000 crore may allegedly have been diverted from the company, and these funds would have been provided as loans to related parties. Bankers have asked the company to reply to these findings of the KPMG forensic audit."We have some idea on the cash flows and the retail business. But in the wholesale book, we always knew that something was amiss as assets were not being created," said a third banker involved in the process. "Now, this audit has thrown up more questions. We are miles away from a resolution. There are cases where no trail is available unless the company provides more data."Bankers believe the ongoing probe and delays could impact the healthier retail book as customers may delay or default on payments.The company's retail loan book, including mortgage loans to individuals, is worth Rs 35,233 crore. It is reportedly generating sustainable cash flows. The problem loans are wholesale loans totaling Rs 47,610 crore: These include project loans, loans to builders for slum rehabilitation (SRA) projects, and loans against property."We have been evaluating these loans and our estimates are that around Rs 13,000 crore of these loans to builders are clean, with regular payments and solid assets where recovery is possible. In the other assets, there is land and they are backed by property transactions," said the first banker cited above.
Private lender YES Bank will complete its capital raising process by the end of December and hopes to hit the gas on the growth engines of the bank, CEO Ravneet Gill said in an interview. Gill told Saloni Shukla that the process of building investor trust in the bank has begun, and that mistrust over asset quality will be talk of the past once marquee private equity names become the bank's investors. Edited excerpts:Asset quality numbers this quarter are not enthusing at all. What went wrong?We had anticipated a couple of resolutions in the quarter that went by, which were there in the public space as well, that they would get done. But for whatever reason they haven't and the overall credit environment continues to remain reasonably challenging. Our sense was that we would see a compression in our BB and below book but that seems to be happening in Q3, as one of the big resolutions should happen in this quarter. So, a couple of resolutions have got delayed, it's a challenging macro environment and some events happened which were out of our control.The ones like CCD and Cox & Kings where you have exposure...Like in the case of CCD, the promoter committed suicide, a fraud happened in Cox & Kings. It wasn't that the company had issues in terms of business ... all of this spilled over.The way to come out of these issues is to grow the book; but to be able to grow, we need capital. If we need to create value we need to grow, we can't create value out of consolidation. If we see what is happening in the NBFC sector, the opportunities for a well-capitalised private sector bank are better than ever. As and when we raise capital, we want to participate in that growth.You have said that you have a binding offer of $1.2 billion and total interests of nearly $3 billion. The capital raising has been long awaited … when will the money come in?There are two parts to this. The board part of it will happen fairly quickly, the regulatory and shareholder approvals are also required. My sense is, before the end of the calendar year we should be able to get the capital in.What would be your choice? A large investor holding nearly 30% of the bank or a mix of foreign private equity investors and large domestic names?It's a decision that we will collectively take at the capital raising committee of the board. What we want is good partners to work with, we want partners who would strengthen the board and its functioning. And who again will help redefine the standing and image of Yes Bank.In terms of the one large foreign investor, we just have one example of Prem Watsa being allowed to hold a majority stake in Catholic Syrian Bank. Do you think that is precedence enough for the regulator to allow another such transaction?It's very hard to anticipate how the regulator will look at it. Obviously, in exceptional circumstances the RBI has the ability to show regulatory accommodation without having to change the Banking Regulation Act. That flexibility is always there. By and large, RBI has been a very rational regulator.The September quarter saw a rise in delinquencies and you also doubled your credit cost forecast. Where did the calculations go wrong?First and foremost, it was important for us to stop being in denial and we have given a guidance on what the credit costs could potentially be. Where we erred? We had baked in a couple of resolutions in credit cost guidance. If you look at the large cases of media company and the housing finance company even what was in public domain, those resolutions should have happened in Q2 and that would have been a big chunk of our BB and below book. Those two resolutions didn't happen and that got our credit costs a little awry. Also, if you look at cases like CG Power, Cox & Kings, CCD ... these were unforeseen and un-budgeted events.In terms of fresh stress coming in to the banking system, what is the probability of Yes Bank figuring in it?Let's look at Cox & Kings, it was a fraud... Altico Capital was brought down by the action of one bank which brought the company down... Look at Cafe Coffee Day, it was a very unfortunate event that happened ... you can always say how is it that you manage to get the bullet. I would say it's a very unfortunate coincidence. It's always very easy to be wise in hindsight but I would describe it as if a torpedo could hit us and nothing missed us. So, I see this as an aberration rather than a continuing trend.There is a lot of mistrust about the bank among equity investors. You have been in the bank since March. What can you promise the investors?That's a fair point. After we did the QIP in August, I was very clear that the next round of capital raising that we do would be private equity and the reason we wanted to do this was because we wanted to provide external validation. That somebody has come, done a due diligence on the books of the bank and brought in money after that. So the idea is that someone did a nice thorough due diligence, and will make a decision to invest in the bank or not. Hopefully, when private equity comes in, and that too after a very stringent due diligence it should give comfort to the market that you get what you see. And it's not as if something is lying hidden in the books which could deteriorate tomorrow.Time is ticking away and markets could get impatient. By when will this money come in?If I had to provide any philosophical guidance on this, it would be as soon as possible. I just feel that there is such a compelling growth opportunity out there that the sooner we can participate in it the better it is. The other thing is even in the eyes of various stakeholders – the investors, the regulators, the depositors, the clients, if we can demonstrate that the bank has become stronger and stable and more secure it serves everybody's interest. I would say that we will try to live up to the timelines to the fullest extent possible.Your earnings in the last two quarters have done little to restore faith.Now that you have $3 billion worth of offers on the table ... when you interact with clients do you see them more confident or the fear is still there?I think the interest that we have got, in a market as tough as this, $3 billion is not a small number. It's a validation of two things. One, about the trust lines getting restored, and second, I think the investors believe that this is a very good franchise. It needs recapitalisation and if we can get that done quickly, it would be up and running and can punch well above its weight in no time whatsoever. Asset quality is one aspect of it. Investors want to see what is the revenue generating power of the engine and there I think investors are now very comfortable the revenue engine is not impaired.Troubles still continue with the NBFC sector. Will that add more pressure to your asset quality?Overall with the NBFCs even in the short term if you can solve the liquidity issue what you really need to address is the asset-liability mismatch and it would be very difficult to address that for a non-deposit taking entity. To that extent I think the sector needs consolidation and some regulatory accommodation.

BENGALURU: Teleperformance could double its India headcount to 150,000 in the next few years, as the company bets on the country both as a delivery location and as a market, the France-based call centre company's CEO Daniel Julien and India and Middle East head Bhupender Singh said in an interview. The business process outsourcing company bought India's Intelenet last year in a deal worth about $1 billion, to grow its digital business and offerings. "We don't have a target, but the market is growing and we could potentially double the headcount in the next few years," Singh said.Teleperformance is also looking at smaller cities in India to expand operations, he added.Overall, the company has about 300,000 employees, of whom 75,000 are in India, and is growing revenue at over 8% year-over-year."We did not have enough scale in India before the acquisition and Intelenet also gave a boost to our digital offerings," said Julien, who founded Teleperformance over 40 years ago.The company is one of the largest business process outsourcing firms in the world with over $5 billion in revenue.The contact centre market was seeing consolidation, but Teleperfomance would not buy simply for scale, Julien said."There is no point in buying companies that do what we do, but less well. We do not have time to fix problems in other companies. We will buy for capabilities or to get new business lines," he said.Prior to its Intelenet acquisition, Teleperformance had bought the US and Philippines business of BPO company Aegis.While there were concerns about technology disrupting contact centre companies, in reality, technology had created significantly new business opportunities — such as content moderation for social media — while automating some tasks had left agents free to focus on the customer, Julien said.
